The following Terms of Use ("Terms") pertain to your utilization of our website and mobile
application collectively referred to as the "platform or OGAudit, we, us" as well as the associated
content, features, software, and applications within the Platform, herein referred to as the
"Service or product" These Terms, inclusive of our Privacy Policy available at
https://ogaudit.com/privacy, govern your access to and engagement with the Platform and Service.
OGAudit, LLC, a limited liability company ("OGAudit"), is responsible for the administration and
maintenance of the Platform and Service, and the terms "we" or "us" or "OGAudit" or "website" or
"the platform” correspondingly denote OGAudit. The term "you or user, community or company or
project or exchange" pertains to the individual, contributor, company visiting, using the Platform
by any means.
It is imperative to meticulously review these Terms as they encapsulate vital information concerning
your legal entitlements, encompassing limitations on OGAudit and specific third parties'
liabilities, disclaimers of warranties, and an acknowledgment of jurisdiction. By accessing the
Service through any means, such as the Internet or a mobile device, you unequivocally agree to
adhere to the version of the Terms posted on the Platform at the time of access. Should you dissent
with these Terms, refrain from utilizing the Platform or the Service.
Introduction
OGAudit is a community social media platform where experienced crypto members who have gone
through multiple verification processes can express their opinions about a crypto project or an
exchange. In addition to this, OGAudit is a platform where any verified user can express their ideas
about any crypto/web3 project or crypto exchange or read and engage with other users’ entries. These
opinions, or any publishing on the platform, do not constitute a judgment or investment advice
therefore not binding. Using the basic features of OGAudit is free (some interactive features may
require wallet verification which may cost one-time fees) and always be such as: submitting OG
reviews, accessing to these reviews and OG scores/ratings, read other users’ entries, accessing to
crypto token coin introductions, reading crypto chat app: Topics section, statistics pages, and live
prices. However, OGAudit may charge a low one-time crypto wallet verification fee from users who
want to become an OG or use any of the interactive features, submit OG reviews, this fee will be
used for API and verification costs and other platform development expenses. One does not need to do
this to use basic features of the OGAudit platform and this verification fee is non-refundable in
any case. OGAudit may charge an additional membership fee for extra/premium services from the
end-user which will be announced later, also OGAudit may charge projects for extra services,
priority support/assistance which will vary depending of the size and volume of the offered
service.
Why do we request your wallet and e-mail information?
You can use all the basic features of OGAudit without registering. However, you will need to
register with a verified email to keep track of your favorite crypto and OGs. You need to register
with both your email and wallet in order to submit entries, support, up/downvote other users’
entries, and invite users. You will be asked to type in your wallet public address and then send a
transaction to a predefined address/contract to verify you are the owner of the address. Note that
this wallet verification fee is non-refundable. We want to make sure that all reviews/entries were
sent by a real person and are sent by the legitimate owner of the wallet and to prevent spam, scam,
and bot manipulation. We work with industry-leading professional web developers to keep OGAudit
secure. However, as you know, no online platform is 100% secure, so we recommend that you register
using an email address that is different from the one you use on exchanges. This verification will
only be done once while you are registering. For OGAudit Alpha, you will not be asked to connect
your wallet to the platform. We will never ask you to connect/link your wallet to an external site
or ask for your private key (seed phrase). Please watch out for scammers! Double-check any links
before visiting.
By registering to the OGAudit, you will be deemed to have accepted the terms of use and other user
agreements, and you know that some sensitive information may be leaked due to unexpected accidents,
social media account links, email, and crypto wallet public key used when registering to OGAudit.
You know that OGAudit doesn’t have access to your email and your crypto wallet or to any other means
you use while registering, and you acknowledge this statement “I understand that I am aware of any
risks and do not grant access to OGAudit and that I am responsible for the security of all of these.
I will be careful in case these accounts fall into the hands of exploiters and be asked to send,
claim, deposit, transfer any asset, connect wallet/social media accounts into another website than
OGAuditudit.com, ask for wallet token spending approvals, type in secret words, registering to
another platform, install add-ons, or malicious software, will never be requested by the OGAudit
team and I will not ignore such scam attempts and not interact with by any means. And I am aware
that if I do, I accept that I will be solely responsible for all damages that may arise because of
these actions. I declare that I will not give investment advice to users in any manner. I declare
that I read, understand and approve OGAudit community guidelines and will not commit hate crimes,
humiliation, profanity and racism to OG Audit community members and other 3rd party. I will not
publish or refer to any information about OG Audit and community, individuals, and companies (listed
or not listed on the platform) which are not based on fact, without evidence and groundless, that
will damage personal or commercial reputation. I am aware that, all legal liability that may arise
from such actions belongs to me only.”
1. Products and Services
a) For paid PR-type memberships
OGAudit is willing to assist the web3 projects and crypto exchanges in responding to and helping
resolve comments written under the related project/exchange page, and in communicating with the user
who wrote the entry for the purpose of reconciliation by allowing direct messages via OGAudit
platform or a third-party email provider. To maintain operational costs and to support contributors
of the OGAudit platform, OGAudit may charge fees as tokens for project/exchange PR (project
representative membership). The subject token means of payment will vary and be decided together by
bidding method with the project/exchange representative, in accordance with the market value and
current employees of the project/exchange, the user count of the project/exchange, the intensity of
comments/entries published on our platform about the project/exchange, and the monthly total visits
of OGAudit platform and the country the company based in and the period of commitment. All Web3
project owners and crypto exchanges, whether legal entities or individuals, who wish to obtain PR
(company representative type) membership from OGAudit, and their representatives, will hereinafter
be referred to as ‘projects’.
With this type of membership, each project can respond to user entries published under its own
sub-page and can contact the user who filed the entries through the platform or via the email
provided by the user. Additionally, projects who have a PR type membership can upload the latest
content about their products and services to the Updates section next to the project About section
on their sub-pages, within the space allocated to them, ensuring better promotion for the OGAudit
users. The OGAudit team has no positive or negative intervention nor influence on the OG scores or
OG reviews.
Application:
To get a PR-type membership, you must contact us via
email from the main domain of your project at [email protected] with the details of your request. In
addition, we may request you to verify the legitimacy of the request by sending a direct message
from your projects' official Twitter(X) account to the OGAudit's official Twitter(X) account
@OGAudit
This service contract is effective immediately after the payment is received and the PR-type
membership is granted to the project representative. OGAudit team will grant PR-type membership
within 48 hours after the specified fee is sent and the transaction is approved on the blockchain to
the specified wallet address.
Pricing and membership commitment:
Service durations and payment
periods for PR-type company memberships are for 3 months and are paid in advance. If you wish to
renew the subscription, you must pay the up-to-date fees before your commitment ends. When you
demand a PR-type membership, you will be offered multiple options such as for 3 months, 6 months,
and 1 year. There are several advantages to subscribing a long-term PR type membership. First of
all, compared to 3-month standard membership, you will get discounted prices (up to %30) as your
membership commitment extends, you will not be affected by price increases that may occur during
your commitment even if number of entries about your project increases dramatically. If a membership
is purchased for a period longer than 3 months, i.e., 6 months or 1 year, a discount will be applied
within the previously specified conditions, and this fee will be collected in advance from the
project. When calculating the service period, and the termination, 3-month cycles, and renewal
period, the same day of the 3rd following month be taken into consideration as a 3-month cycle. For
example, if you started receiving service on the 5th of January, you will continue to benefit from
the service until the 5th of April. If you wish to extend your membership period, you must submit
your renewal request to us before the fifth of April. In order to receive an uninterrupted service,
you must submit your renewal request to us at least 5 days in advance before your service period
ends, as the processing of your payment and correspondence may take a long time.
Cancellation/refund conditions:
Projects that subscribe for PR type
OGAudit membership for the first time reserve the right to unconditional cancellation within the
first 15 days if they wish to terminate their membership for any reason. The service cancellation
request will be evaluated within 5 business days, and the fees for the used days will be calculated
from the non-discounted tariff deducted from the total paid amount and returned to the specified
wallet address within 5 business days. If the project requests early termination of membership or
discontinuation of service for any reason later than 15 days after the service starts, the fees
previously collected for the remaining unused days after the 3-month cycle will be refunded to the
specified address within 5 business days after being calculated as in the previous case. However, If
the payment is made for 3 months and the cancellation request is sent on the 30th day from the
beginning of the service, there will be no refund for the remaining 60 days as per the contract, but
you will continue to receive the services promised to you for the remaining 60 days.
In other cancellation scenarios for subscribers for longer than a 3-month cycle, when calculating
the refund fee, the fee for the cycles used will be deducted based on the 3-month cycle without
discount in line with the first offer. If there is any remaining amount, it will be refunded to the
wallet address specified by the project. This means if you break your commitment early you will be
charged from non-discounted prices for the days you benefited the service. Some examples: let's
imagine we offered you a 3-month for 10 units, 18 units for 6-month (10% discount), and 32 units for
a year (20% discount) if you signed up for a year and decided to stop it just before the 6th month,
a regular service fee of 10 * 2 = 20 units will be deducted from the initial 32-unit payment, and a
refund of 32 - 20 = 12 units will be made. In the second scenario, if you signed up for a year and
decided to stop it just before the 9th month, 10 * 3 = 30 units of non-discounted fee will be
charged, and the remaining 32 - 30 = 2 units will be refunded. In such cases, refunds will be issued
within 10 business days to the wallet address submitted to OGAudit by the project via the email
communication channel.
The fee agreed on with the PR type of membership is valid unless one of the parties decides to stop
giving/receiving service project/exchange officer membership is granted, and the project/exchange
representative has access to reply to comments/entries in the relevant project/exchange subpage.
With this type of membership, a limited pre-agreed section will be assigned to the project/exchange
representative in related project/exchange page so that the representative may publish regular
updates with the community every week on OGAudit designated project/exchange page.
No token refund will be made in cases of service failure that does not exceed 15 days due to
technical problems on the site. If premium service users do not comply with the rules, their use of
the service may be limited or completely closed. In this case, the payment token for the month in
which the service was limited or closed will not be refunded.
b) Corporate, individual advertising, marketing, project consultancy services
Creation of advertising strategies and content to be published on our platform or in a third party,
project consultancy, and all similar services are included in this scope. Since these services are
designed specifically for the individual or the company, special cases and situations related to the
service need to be addressed in detail depending on the demand and the offer that are not included
in this contract. Extra terms will be specified in the additional contract and mutual agreement will
be sought.
c) Other premium services
In addition to the free basic features offered on the site, OGAudit may sell some premium packages
that include detailed statistics and data access services. Since the content and terms of use of
these packages may change dynamically and still on development phase, the additional user agreement
that will be presented with the relevant paid service should be carefully examined and approved
before subscribing to the product. OGAudit may demand cash or tokens in return for such premium
services. No refunds are possible for these types of memberships, except for the conditions stated
in this agreement.
d) About OGA Scores and OG reviews
OGAudit does not encourage or reward anyone for making a review or submitting an evaluation rating
on the platform. This service is free for the end user. However, in order to cover operational
costs, OGAudit may request brokerage fees from project and exchange owners so that they can respond
to these entries and eventually help influence higher user satisfaction rates, positive comments.
Details of PR (project representative memberships) fees are mentioned in the 'For paid PR-type
memberships' article.
OGAudit is not a judicial authority and cannot decide who is right and who is wrong, who is telling
the truth or not. In other words, it is not necessary to be right to submit a review, and the fact
that the user may be unfair or that it is not possible to fully prove the review/entry is lawful and
100% accurate is not a reason for the removal of the review/entry. OGAudit regularly moderate and
watch over all reviews/entries for whether the users are complying with OGAudit community guidelines
or not and take necessary actions in accordance.
e) About OG reviews and OGAudit OGA Points
OGAudit offers free and indefinite privileged platform membership to individuals who meets certain
on-chain criteria and accepts all platform user agreement and OGAudit community guidelines. These
benefits are valid unless stated otherwise. Although the legal binding nature of the articles and
content shared here belongs to the person who shares the content, OGAudit publishes every comment and
opinion on the platform, considering it innocent and justified within the scope of freedom of
expression, unless the contrary is proven. Individuals sharing any content through OGAudit acknowledge
that OGAudit may publish, delete, market, sell, redistribute, on the platform or on any third party
without any further approval required from the sender. OGAudit OG scores are an average of these
comments and evaluations. OGAudit team or project officials have no control over these scores. The other
items in this agreement are also valid and binding for this service as well.
2. Eligibility
In order to utilize or access the Service, it is essential that you meet the minimum legal age
requirement in your respective jurisdiction, which is 18 years old in most countries. The Service is
exclusively intended for your personal, non-commercial purposes unless a distinct agreement is
entered into with us for its commercial use. If your account has been terminated by us or you have
been banned from utilizing the Platform or the Service due to the violation of terms of service,
OGAudit community guidelines, you are prohibited from using the Service as a subscriber and will not
be able to send/publish any content or be able to use any interactive features of the platform.
3. Account
To access certain features of the Service, it is required that you possess an account with
OGAudit("Account"). By creating an Account, you confirm and guarantee that you meet the minimum
legal age requirement in your respective jurisdiction, possess the capacity to enter and fulfill
legally binding contracts under applicable law, and that all information provided by you is
accurate, current, truthful, and complete.
You bear sole responsibility for all activities conducted under your Account. OGAudit will not be
held accountable in any manner if your password and/or Account are misused or accessed by a third
party. Therefore, you agree to safeguard your password, ensuring its security, and maintain
up-to-date account information consistently.
Unless explicitly authorized by OGAudit and subject to the Terms, along with any other supplementary
terms solely and absolutely determined by OGAudit, you are prohibited from establishing multiple
Accounts. Furthermore, you must not lend, transfer, or sell your Account or Account information to
any other party, and you must refrain from using another user's Account without obtaining their
written permission.
OGAudit may periodically communicate with you through the email address provided during your Account
registration. Opting out from such communications is not possible, and you are responsible for
ensuring the accuracy and currency of your email address. If you fail to receive any communications
due to an incorrect, outdated, or incomplete email address, OGAudit will not be held responsible for
any losses or damages resulting from your failure to receive the communication. OGAudit is not
responsible for airdrops that it distributes itself or as a result of collaborations with its
partners.
Although OGAudit does not promise to convert the points earned by users on the site into any kind of
financial incentive or tokens in the future, it has plans to help execute the SC and then DAO
creation.
4. License
You are only permitted to utilize the Service in accordance with the explicit permissions outlined
in these Terms. All rights not expressly granted to you are retained by OGAudit, its third-party
providers, and other respective owners, if applicable.
OGAudit delivers content via the Service that constitutes copyrighted and/or trademarked work of
OGAudit, its third-party licensors and suppliers (collectively referred to as the "Content"). For
clarity, Content encompasses all material accessed by you at any given time. You recognize that the
Service has been developed, compiled, prepared, revised, selected, and organized by OGAudit and such
third parties through the application of substantial time, effort, and financial resources. It
constitutes valuable intellectual property of OGAudit, and others involved. Therefore, you are
obligated to safeguard the proprietary rights of OGAudit and all other rights holders in the
Service, both during and after the term of these Terms, and comply with any written requests made by
OGAudit to protect its and others' contractual, statutory, and common law rights in the Service.
In accordance with these Terms and your adherence to them, OGAudit grants you a limited, personal,
non-exclusive, non-sublicensable, and non-transferable license to use the Content and the Service
solely for your personal use. Commercial use of the Service or any Content is strictly prohibited.
Apart from the granted license, you possess no additional rights to the Service or any Content.
Modification, editing, copying, distribution, reproduction, publication, display, performance,
licensing, selling, renting, leasing, loaning, creating derivative works, creating indices, reverse
engineering, altering, enhancing, providing access to, or exploiting the Service or the Content in
any manner is expressly prohibited.
Unless otherwise stated, OGAudit and/or its licensors own the intellectual property rights for all
content on OGAudit. All intellectual property rights are reserved. You may view and print pages from
ogaudit.com for your own personal use subject to restrictions set in these terms and conditions.
You are not allowed to:
• Republish material from OGAudit.com or subdomains
• Sell, rent or sub-license material from OGAudit.com or subdomains
• Reproduce, duplicate, or copy material from OGAudit.com or subdomains
• Hyperlinking or redistribute any content from ogaudit.com or subdomains
(Unless the content is specifically made for redistribution, or stated in this section or in article
7 ‘Limited Linking to the Service from Your Website’)
Unless otherwise expressly stated in writing, the terms written in the article are valid. The above
license automatically terminates if you breach any of these Terms. All cases other than Article 7
‘Limited Linking to the Service from Your Website’ are subject to this article.
5. Prohibited Activities
You hereby commit to refrain from the following actions:
1. Copying, modifying, or creating derivative works of the Service or any Content.
2. Copying, manipulating, or aggregating any Content (including data) to make it available to third
parties.
3. Trading, selling, renting, loaning, leasing, or licensing any Content or access to the Service,
whether commercially or free of charge.
4. Using or introducing data mining, crawling, "scraping," robots, or similar automated methods to
access, acquire, monitor, copy, download, or store any portion of the Service or Content (unless
expressly authorized by OGAudit). Note that certain data and information within the Service may be
available by subscription or for token at https://OGAudit.com/api/ which will be announced later in
detail.
5. Making excessive requests for information or taking any action that interferes with, disrupts,
imposes an undue burden on the Service, or negatively affects the quality, availability, speed, or
functionality of the Service or any Content.
6. Introducing viruses, Trojan horses, worms, time bombs, or other malware to the Service or the
Platform, or using any device, software, or routine to bypass software or hardware that prohibits
volume requests for information.
7. Violating, bypassing, or circumventing any security measures intended to limit or prevent access
to the Platform, Content, or Service.
8. Attempting to gain unauthorized access to the Service, any Content, or any computer systems or
networks connected to the Service or any OGAudit server, whether through hacking, password mining,
unauthorized use of another's password/credentials, or any other means.
9. Restricting, inhibiting, or interfering with the use of the Service by any other user, including
hacking or defacing the Platform.
10. Introduce or distribute through the Platform any computer program that damages, interferes with,
intercepts, collects, releases, or discloses any system, data, or personal information of OGAudit or
any third party.
11. Using any trademarks, service marks, trade names, or logos of OGAudit or any third party
displayed on the Platform.
12. Modifying or removing any copyright or other proprietary notice in the Content.
13. Using the Website, Content, or Service for or in connection with any activity that (i) violates
any applicable law, statute, ordinance, or regulation, including without limitation, the U.S.
Department of the Treasury's Office of Foreign Assets Control (OFAC), related International and
local laws which may be different for each subject country, or (ii) involves proceeds of any
unlawful or illegal activity.
14. The data on the Service can only be used by providing our connection link. You can contact us
via e-mail for API service TBA.
15. Your wallet private key, seed phrase, email password, etc., is never requested by OGAudit.
OGAudit will not be held responsible for any damage you may incur as a result of your sharing.
Moreover, you acknowledge and agree that you (and not OGAudit) are solely responsible for obtaining
and maintaining all telecommunications, broadband, and computer hardware, equipment, software, and
services needed for you to access and use the Service, and for paying all charges related thereto.
6. Ownership and Intellectual Property
Subject to the terms outlined herein, you are permitted to view, print, and create copies of Content
for your personal use. However, you must not copy, reproduce, download, "screen scrape," store,
transmit, broadcast, publish, modify, create derivative works, display, perform, distribute,
redistribute, sell, license, rent, lease, or otherwise use, transfer (in printed, electronic, or
other formats), or exploit any Content, in whole or in part, in any manner that contravenes these
Terms without our prior written consent. If you wish to seek permission for the use of any Content
beyond what is expressly permitted in these Terms, please contact [email protected].
All Content is owned or controlled by OGAudit, as the case may be. OGAudit, its logo, and, unless
otherwise specified below, all other product or service names or slogans displayed on the Service
are registered and/or common law trademarks of OGAudit or its suppliers or licensors and may not be
copied, imitated, or used, in whole or in part, without the prior written permission of OGAudit or
the relevant trademark holder. Furthermore, the overall appearance and presentation of the Service,
encompassing page headers, custom graphics, button icons, and scripts, constitute the service mark,
trademark, and/or trade dress of OGAudit and may not be copied, imitated, or used, in whole or in
part, without the prior written permission of OGAudit. Any other trademarks, registered trademarks,
product names, and company names or logos mentioned in the Service are the property of their
respective owners. The mention of any products, services, processes, or other information, by trade
name, trademark, manufacturer, supplier, or otherwise, does not imply endorsement, sponsorship, or
recommendation by OGAudit.
These Terms confer no ownership interest in any intellectual property belonging to OGAudit or any
third party. The use or misuse of OGAudit’s trademarks or other intellectual property, except as
explicitly permitted by these Terms, is strictly prohibited. Should you become aware of or suspect
any violation or infringement of OGAudit’s or its providers' intellectual property rights, please
promptly notify OGAudit at [email protected].
The terms "OGAudit" and all related logos, trademarks, service marks, and trade names are
exclusively the property of OGAudit. The absence of any name, logo, or other mark herein does not
constitute a waiver of any intellectual property rights established by OGAudit. Other trademarks,
names, or logos utilized on the Website are the property of their respective owners, and you are not
authorized to use any of them without permission. It is acknowledged that OGAudit and/or its
providers hold the copyright in and to all Content under applicable laws, including copyright laws
and other intellectual property laws, and have reserved all rights in and to such Content.
7. Limited Linking to the Service from Your Website
Search engines, news organizations, crypto communities, social media channels, government, NGO
Nonprofit agencies, online directory distributors may link from OGAudit limited content adhering to
the ‘Linking to the service from your website’ guideline.
Stated above are permitted to include one or more links to the Service (collectively referred to as
the "Link") on your own website ("Your Site" or “The Platform”), under the following conditions:
1. The Link must display only the following text with the same or greater typing fonts and the same
color with the derived content: "ogaudit.com" or "Link to ogaudit.com"
2. Your Site/Platform must not contain any content that is unlawful, threatening, abusive, libelous,
defamatory, or otherwise inappropriate, as determined by OGAuditudit.com in our sole and absolute
discretion.
3. The overall appearance and presentation of all content accompanying the Link or on the same page
as the Link (such as the entire article in which the Link appears, even if not on the same page as
the Link) must not be of a nature that could harm or dilute the goodwill associated with OGAudit’s
name, reputation, or any of its trademarks, trade names, or service marks, as determined by OGAudit
in its sole and absolute discretion.
4. No content on Your Site should contain any information that, in our sole and absolute discretion,
might create the false impression that you, Your Site, or any other website, service, person, or
entity is associated with, sponsored by, or otherwise endorsed by OGAudit, or that any activity
engaged in by you or anyone else has been approved by OGAudit.
We may revoke our consent to a Link at any time in our sole and absolute discretion, without prior
notice. If we notify you that you may no longer link to the Service, or to a page or document, you
must promptly (and, in any event, within three (3) calendar days from the date of our notice) remove
all affected Links from Your Site. Under any condition Linking to or from our home page, to
publications, or to any other Website content so long as the link: (a) is not in any way misleading;
(b) does not falsely imply sponsorship, endorsement, or approval of the linking party and its
products or services; and (c) fits within the context of the linking party's site.
For other web platforms those would like to refer to any kind of information published on OGAudit
can follow this guideline: All/cumulative scores, comments/entries, OG scores, of more than one
project or exchange cannot be published as a whole or quoted even if the link and the source is
cited. However, a couple (10 entries/comments at maximum) of specific comments/entries, or scores on
a specific coin/token/web3 project/exchange can be quoted with attribution to the OGAudit name and
the direct link to the content are both clearly readable and clickable, and with same font with the
main text. In any way on, maximum of 10 quotes can be made on a single page/subdomain and overall
maximum 50 times on a domain/website/web or mobile platform. While these quotations/references are
being made, article 7 ‘Limited Linking to the Service from Your Website’ and the entire user
agreement in general are binding and final. Regular and continuous quoting, any quotes exceeding
these numbers even if the link and source are cited, is considered a data breach and is against
copyright laws and is prohibited.

8. Community Generated Content; Grant of Right To OGAudit
Subject to the provisions within these Terms, the Service allows you to post and share various
materials, such as texts, images, videos, predictions, or other content. You are solely responsible
for the content you contribute, ensuring compliance with applicable laws, rules, and regulations.
By using the Service, you acknowledge the possibility of exposure to content that may be harmful,
disrespectful, irritating, offensive, inaccurate, misleading, or otherwise inappropriate. The
responsibility for any community-generated content posted on the Platform lies with the individual
or party responsible for its creation, not OGAudit. OGAudit does not prescreen, review, or moderate
all community-generated content and shall not be held liable for such content. However, OGAudit
reserves the right, at its sole discretion, to remove any community-generated content without
liability or the obligation to provide a refund or compensation, especially in the following
circumstances:

community-generated content.
2. Receipt of a rightful complaint or notice of infringement related to the community-generated

3. Any other objectionable nature of the community-generated content.
As an indication of being a transparent platform, minimum required information about such incidents
will be shared in our transparency reports, which will be published quarterly after the removal of
such content that does not comply with OGAudit Terms/ OGAudit community guidelines or is against the
laws.
Community-generated content is not considered financial advice, and users understand and agree to
bear the risks associated with using information from such content.
Before posting any community-generated content, you affirm ownership or licensing of the
intellectual property rights in that content. If you believe that other community-generated content
has infringed your intellectual property rights, please report it to us at contact

While you retain ownership rights in the content you post on the Platform, you grant OGAudit a
worldwide, fully paid, royalty-free, sub-licensable, and transferable license to host, store, use,
display, reproduce, modify, adapt, edit, publish, and distribute such content (subject to our
current Privacy Policy). This license is granted for the purpose of operating, developing,
providing, promoting, and improving the Service, as well as researching and developing new products
and services and marketing, selling them. OGAudit is not obligated to compensate you for the content
you submit or post on the Platform. Your use of the Service is deemed sufficient compensation for
the content you contribute, and you acknowledge and agree to the grant of rights outlined herein.

any reason whatsoever. OGAudit has no financial liability towards the end user, except for cases
where paid membership is sold as mentioned in Article 1. Other than that, we shall bear no liability
to you or any third party for any such modification, suspension, or discontinuance.

We reserve the right to revise these Terms periodically, without prior notice. Your acceptance of
any changes to these Terms is acknowledged upon our posting of such changes on the Service. It is

possible via email or a pop-up alert to be published on ogaudit.com. By continuing to use the

The remedies outlined in these Terms for OGAudit are cumulative and are in addition to any other
remedies available. OGAudit retains the right to pursue all available remedies in law and equity for
any violation of these Terms. OGAudit reserves the authority to suspend, terminate, or block your
access to the Service, either in whole or in part, for any violation or suspected violation as
determined by us, without prior notice to you. Your breach of these Terms and OGAudit community
guidelines will be construed as a breach of contract.
While we have the right to investigate any suspected violation of these Terms or misuse of the
Service, we are not obligated to conduct such investigations. Additionally, we reserve the right to
report any activity, data, or individuals to, and to otherwise cooperate with:
(i) Law enforcement authorities; (ii) Financial regulators, including the U.S., EU, Securities and
Exchange Commissions and such; (iii) System administrators at Internet service providers, networks,
or computing facilities; and (iv) Providers and/or third-party vendors if there is suspicion that
you have violated these Terms or any law, rule, or regulation.
You acknowledge that such reporting or cooperation may involve, without limitation, providing
information related to you and/or your use of the Service, including your email address, IP address,
or other identifying information, to law enforcement authorities, financial regulators, third-party
providers, vendors, or system administrators. Furthermore, we may disclose any information we deem
necessary to comply with applicable law, regulation, subpoena, or other legal process or
governmental or regulatory request.
16. Governing Law; Submission to Jurisdiction
These Terms, as well as any claims, disputes, or other legal proceedings between you and us— including
those related to or arising out of these Terms or your use of the Service—shall be governed by and
construed in accordance with US and EU laws and laws of subject countries, without regard to any
principles of conflicts of law. You agree that any action arising out of, relating to, or in connection
with the Service and/or these Terms shall be exclusively litigated in US and EU courts. You further
irrevocably submit to the exclusive jurisdiction of such court, waiving any objection to jurisdiction
and venue.
You acknowledge that any breach of the sections titled "Prohibited Activities" or "Ownership and
Intellectual Property" would cause immediate and irreparable harm to OGAudit. Monetary damages would not
be sufficient, and in addition to all other remedies available to OGAudit at law or in equity, OGAudit
shall be entitled to seek injunctive relief without proof of damages or the posting of bond or other
security in the event of such a breach or threatened breach.
17. General
These Terms (including any other terms or agreements referenced herein, such as our Privacy Policy found
at https://ogaudit.com/privacy/) constitute the complete agreement between you and OGAudit regarding
your use of the Service, superseding all prior or contemporaneous communications—whether electronic,
oral, or written—between you and OGAudit concerning the Service. A printed version of these Terms and
any notice provided in electronic form shall be admissible in judicial or administrative proceedings to
the same extent and under the same conditions as other business documents and records originally
generated and maintained in printed form.
You acknowledge that no joint venture, agency, partnership, or employment relationship exists between
you and OGAudit and/or its affiliates because of these Terms or your use of the Service.
OGAudit shall not be held responsible or liable for any failure or delay in the performance of its
obligations under these Terms due to forces beyond its control, including, but not limited to, strikes,
work stoppages, accidents, regional, local or global internet or power outages, solar flares, acts of
war or terrorism, civil or military disturbances, pandemics, any Force majeure; nuclear or natural
catastrophes, and interruptions, loss, or malfunctions of utilities, communications, or computer
(software and hardware) services.
Our performance under these Terms is subject to existing laws and legal processes. Nothing in these
Terms limits our right to comply with law enforcement or other governmental or legal requests or
requirements regarding your use of the Service or information provided to, or gathered by, us in
relation to such use. To the extent permitted by applicable law, you agree that any claim or cause of
action arising from or related to your access or use of this Service must be brought within two (2)
years from the date on which the claim or action arose or accrued, or it will be irrevocably waived.
These Terms and any rights and licenses granted herein may not be transferred or assigned by you but may
be assigned by OGAudit without restriction. Any attempted transfer or assignment by you in violation
hereof shall be null and void.
If any provision of these Terms, including warranty disclaimers and limitations of liability, is
determined to be invalid or unenforceable under applicable law, the invalid or unenforceable provisions
shall be deemed superseded by valid and enforceable provisions that, to the extent possible, fulfill the
business purposes and intent of such invalid and unenforceable provisions.
In addition to, and without limiting, the preceding paragraph, some jurisdictions may provide rights
beyond those stated in the "Disclaimers and Limitation of Liability" section, or they may not allow the
exclusion or limitation of implied warranties or liability for incidental or consequential damages.
Therefore, the limitations set forth in the "Disclaimer and Limitation of Liability" section may not
apply to you in whole or in part, or there may be state- or country-specific provisions that supersede
